Booking Terminal LLC Terms of Service for Providers

These Terms of Service ("Terms") are entered into between Booking Terminal LLC, a limited liability company organized under the laws of the State of Delaware with its principal place of business in Georgia ("Booking Terminal LLC," "Company," "we," "our," or "us"), and the business or other legal entity that creates an account on the Booking Terminal LLC platform ("Provider," "you," or "your"). By creating an account, accepting these Terms within the Booking Terminal LLC platform, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. The individual who creates an account on behalf of a business or other legal entity represents and warrants that they have the authority to bind that business or entity to these Terms, and "Provider," "you," and "your" refer to that business or entity.
1. Acceptance of Terms
By using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. We may modify these Terms at any time, and your continued use of the Service after any changes constitutes acceptance of the new Terms.
2. User Accounts
To use our Service, you may need to create an account. You agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain the security of your password and account information.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
- Be responsible for all activities that occur under your account.
3. Services Provided
Booking Terminal LLC provides a booking software platform designed for tour operators, activity providers, and rental businesses. The Service includes functionalities such as managing online and in-person reservations, processing payments, facilitating customer communications regarding their bookings, and providing electronic signing infrastructure for participant waivers and releases authored by you (the "Waiver Feature").
We provide the Service as a technology platform only. We do not author, edit, review, approve, or endorse the content you create using the Service, including without limitation any waiver, release, or other legal document content that you author or configure.
4. Payment Processing
All payment transactions are processed through Stripe. By using our Service, you agree to comply with Stripe's terms of service and privacy policy.
5. Service Fees and Refunds
Booking Terminal LLC charges a booking fee on all online reservations processed through our platform. This fee is separate from any applicable payment processing fees charged by Stripe or other payment gateways. Booking Terminal LLC is not responsible for refunding these fees in the event of customer cancellations, disputes, or changes to reservations. Any refunds related to booking fees or payments must be handled directly by the service provider. Booking Terminal LLC retains the right to modify its fee structure with notice to users.
6. Referrals
If you were referred to Booking Terminal LLC by another person or entity, that referrer may receive compensation derived from the booking fees collected from your customers. This compensation does not alter your obligations or fees under these Terms.
7. User Responsibilities
Providers agree to:
- Use the Service only for lawful purposes and in accordance with these Terms.
- Not use the Service in any way that could damage, disable, or impair the Service or interfere with any other party's use of the Service.
- Ensure compliance with all applicable laws and regulations regarding their use of the Service, including without limitation laws governing electronic signatures, data privacy, and waivers in the jurisdictions in which you operate.
- Obtain and maintain all consents and authorizations required for your collection and use of personal information from your customers and participants.
8. Waiver Feature Terms
This Section 8 applies to your use of the Waiver Feature. The Waiver Feature provides infrastructure that enables you to create, deliver, and electronically collect signatures on participant waivers, releases, and similar documents. The substantive content of any document created using the Waiver Feature is authored by you, not by Booking Terminal LLC.
8.1 Provider Responsibility for Waiver Content
You are solely responsible for the content of every waiver, release, or other document you create or distribute using the Waiver Feature, including without limitation:
- All release-of-liability, assumption-of-risk, indemnification, and other substantive terms;
- The legal sufficiency, enforceability, and conspicuousness of your waiver content under the laws of every jurisdiction in which you operate or in which any participant resides;
- Whether your waiver is permitted under applicable law for the activity in question (you acknowledge that some jurisdictions limit or prohibit pre-injury liability waivers for certain activities, including waivers signed by parents on behalf of minors);
- Any photo, video, image, likeness, or media release language;
- Any data fields you elect to collect from participants, including date of birth, telephone number, postal code, marketing consent, or any other personal information.
Booking Terminal LLC does not review, approve, or evaluate the legal sufficiency of any waiver content. We make no representation or warranty that any waiver created using the Waiver Feature will be enforceable in any jurisdiction or against any participant. You should consult qualified legal counsel before deploying any waiver to participants.
8.2 Platform-Provided Default Text
The Waiver Feature includes default electronic signature consent language drafted to address common requirements of the federal Electronic Signatures in Global and National Commerce Act ("E-SIGN Act") and the Uniform Electronic Transactions Act ("UETA"). This default text is provided AS IS. You may override or replace this default text. If you do, you are solely responsible for ensuring that your replacement text complies with all applicable laws governing electronic signatures and consumer disclosures.
8.3 Minors and Guardian Authority
If you configure your waiver to collect information about minor participants, you acknowledge and agree that:
- You are solely responsible for determining whether your activity is appropriate for minors and whether parental or guardian releases are permitted and enforceable under applicable law;
- Booking Terminal LLC does not verify the identity of any signer or the legal authority of any signer to provide consent on behalf of a minor;
- You are responsible for any additional verification or attestation you require from a parent or guardian, beyond what the Waiver Feature collects by default;
- You are responsible for compliance with the Children's Online Privacy Protection Act ("COPPA") and any analogous laws regarding the collection of information about minors.
8.4 Data Roles for Waiver Data
With respect to all personal information collected through the Waiver Feature (including signer name, contact details, date of birth, signature image, IP address, user agent, and information about minor participants), you act as the controller or business and Booking Terminal LLC acts as the processor or service provider. Booking Terminal LLC processes such information solely on your documented instructions and as further described in Section 21 of these Terms.
You are responsible for:
- Providing all required notices to participants regarding the collection and use of their personal information;
- Responding to participant requests to exercise their rights under applicable privacy laws;
- Determining the appropriate retention period for waiver data in light of your legal and business obligations.
8.5 Record Retention
Booking Terminal LLC will retain signed waiver records (including the signed waiver PDF, signature image, and associated metadata) for a period of seven (7) years from the date of signature, after which such records may be deleted, anonymized, or archived at our discretion. You are responsible for determining whether a longer retention period is required for your business and, if so, for exporting and storing waiver records yourself before the expiration of the seven-year period.
8.6 No Legal Advice
Nothing in the Waiver Feature, these Terms, or any communication from Booking Terminal LLC constitutes legal advice. You should consult qualified legal counsel regarding the design, content, and use of any waiver, release, or similar document.
9. Data Privacy and Protection
Your privacy is important to us. Booking Terminal LLC collects and processes personal information solely for providing our Service, in accordance with Section 21. Payment details are processed by Stripe, and their terms and privacy policy apply to all financial transactions. We do not share personal data with third parties except as necessary for the operation of our Service or as required by law. Please see our Privacy Policy for more information on how your data is handled.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
- Booking Terminal LLC is not liable for any lost business or income resulting from system outages or any other issues affecting the Service, and is not liable for any indirect, incidental, special, consequential, or punitive damages.
- Booking Terminal LLC's total cumulative liability for any and all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to Booking Terminal LLC during the six (6) months immediately preceding the event giving rise to the claim, or (b) one thousand U.S. dollars ($1,000).
- Booking Terminal LLC makes no representation or warranty that any waiver, release, or other document created or signed using the Waiver Feature will be enforceable, valid, admissible as evidence, or sufficient for any purpose under the laws of any jurisdiction. The Waiver Feature is provided AS IS and AS AVAILABLE.
- The limitations in this Section 10 do not apply to your indemnification obligations under Section 12, or to liabilities that cannot be limited under applicable law.
11. Intellectual Property
All intellectual property rights in the Booking Terminal LLC platform, including but not limited to our code, logo, and all related documentation, remain with Booking Terminal LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purposes. You retain ownership of content you create using the Service, including waiver content authored by you, and you grant Booking Terminal LLC a non-exclusive, royalty-free license to host, store, transmit, display, and process such content as necessary to provide the Service.
12. Termination
Either party may terminate this agreement at any time without any requirements or notice period. Signed waiver records may continue to be retained by Booking Terminal LLC for the seven-year retention period described in Section 8.5. Sections that by their nature should survive termination (including Sections 8.4, 8.5, 10, 13, and 21) shall survive.
13. Indemnification
You agree to indemnify and hold harmless Booking Terminal LLC, its affiliates, and its respective officers, directors, and employees from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of:
- Your use of the Service or any violation of these Terms;
- The content of any waiver, release, or other document authored or configured by you using the Waiver Feature, including any claim that such content is unenforceable, invalid, or violates any law;
- Any claim that a person who signed a waiver using the Waiver Feature lacked the legal capacity or authority to do so, including without limitation claims involving minors or guardian authority;
- Any injury, illness, death, or property damage suffered by a participant in your activities, regardless of whether such participant signed a waiver.
14. Force Majeure
Booking Terminal LLC will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, pandemics, or governmental restrictions. In the event of such a force majeure, we will make reasonable efforts to resume services as soon as possible but do not guarantee specific timelines.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-laws principles.
16. Dispute Resolution and Arbitration
In the event of any dispute or claim arising out of or related to these Terms or your use of the Service, both parties agree to first attempt to resolve the dispute informally through written communication. If the dispute cannot be resolved within 30 days, it will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Each party will bear its own costs, and the arbitration will take place in Atlanta, Georgia, unless otherwise agreed upon. This clause does not prevent either party from seeking injunctive relief in a court of competent jurisdiction.
17. Changes to Services
Booking Terminal LLC reserves the right to modify or discontinue any aspect of the Service at any time. We will notify users of significant changes via email or through notifications within the platform. If you do not agree with any changes, your sole remedy is to discontinue use of the Service. Continued use after changes are made constitutes acceptance of the new terms.
18. User Content & Reviews
If you provide content such as reviews or feedback on our platform, you grant Booking Terminal LLC a non-exclusive, royalty-free, worldwide license to use, reproduce, and distribute your content in connection with the operation of our Service. We reserve the right to moderate, edit, or remove any content that violates these Terms or is deemed inappropriate at our sole discretion. You retain ownership of your content but are responsible for ensuring that it does not infringe upon the rights of any third party.

21. Data Processing Terms
This Section 21 governs the processing of personal information by Booking Terminal LLC as a processor or service provider on your behalf in connection with the Service, including the Waiver Feature.
21.1 Roles
With respect to personal information processed in connection with the Service, you are the controller or business and Booking Terminal LLC is the processor or service provider, as those terms are defined under applicable data protection laws. You determine the purposes and means of processing. Booking Terminal LLC processes personal information only on your documented instructions, as set forth in these Terms.
21.2 Your Instructions and Warranties
Your acceptance of these Terms and use of the Service constitute your instructions to Booking Terminal LLC to process personal information as necessary to provide the Service, including to receive, store, transmit, and generate signed waiver records, and to retain those records in accordance with Section 8.5.
You represent and warrant that you have all necessary rights and authorities to provide personal information to Booking Terminal LLC and to instruct us to process it, that you have provided all required notices to data subjects, and that, where required, you have obtained valid consent for the processing.
21.3 Security
Booking Terminal LLC implements and maintains appropriate technical and organizational measures designed to protect personal information against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access. These measures include encryption of data in transit, access controls, and logical separation of customer environments.
21.4 Sub-Processors
You authorize Booking Terminal LLC to engage third-party sub-processors to process personal information in connection with the Service. Booking Terminal LLC will impose data protection obligations on its sub-processors that are no less protective than those set out in this Section 21, and remains responsible for the acts and omissions of its sub-processors. The current list of sub-processors as of the Effective Date is:

This list may be updated from time to time.
21.5 Security Incident Notification
Booking Terminal LLC will notify you without undue delay after becoming aware of a confirmed breach of security leading to the unauthorized access to or disclosure of your personal information. The notification will describe, to the extent then known, the nature of the incident, its likely consequences, and the measures taken to address it.
21.6 Return or Deletion
Upon termination of these Terms, Booking Terminal LLC will, within the export window described in Section 12, make personal information processed on your behalf available to you for return or delete it, except that signed waiver records may be retained for the seven-year retention period described in Section 8.5, and except as required by applicable law.
